Guarantees and Indemnities

Members of Chambers provide advice and representation in matters concerning the creation and formal validity of guarantees and indemnities and questions as to the true construction of such agreements. We deal with enforceability, particularly where there are potentially vitiating factors such as misrepresentation, non-disclosure or mistake. Members also deal with agreements that may have been procured by duress or undue influence, including Etridge-type cases, and are well-placed to consider questions of liability between co-sureties and the rights of sureties against the principal and the creditor.

Members are able to draw on their knowledge and expertise across the full range of Chancery fields, giving us a particular advantage where guarantees and indemnities arise in the context of secured lending, insolvency and landlord and tenant.
